Terms of Service

This is a comprehensive general template. It should be reviewed by qualified legal counsel and adapted to your commercial arrangements and jurisdiction before publication.

1. Agreement to these terms

These Terms of Service ("Terms") form a legal agreement between you and EventNook Pte. Ltd. ("EventNook", "NookPass", "we", "us", "our"), a company incorporated in Singapore. By accessing or using the NookPass mobile or web applications or related services (the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

2. Definitions

• Organizer — a customer that creates or manages an event on NookPass.
• Attendee / participant — an individual who uses the app in connection with an event, including delegates, speakers, and exhibitor staff.
• User content — content you submit, upload, or post through the Service.
• Event data — data relating to an organizer's event, including attendee and engagement data.

3. Eligibility and accounts

• You must be of legal age to form a binding contract to use the Service.
• You must provide accurate information and keep your account details current.
• You are responsible for safeguarding your credentials and for all activity under your account.
• Notify us promptly at [email protected] of any unauthorized use.

4. The Service

NookPass is an event companion application offering features that may include a live agenda, digital badge, exhibitor and floor-plan directory, speaker profiles, attendee networking, live Q&A, announcements, document sharing, photo albums, session tracking, gamified event passport, business-card scanning, and exhibitor lead capture. The features available at any given event are configured by the organizer, and we may add, modify, or remove features over time.

5. Organizer responsibilities

• Organizers are responsible for the content they publish and the event they run.
• Organizers must have a lawful basis to collect and upload attendee data, and must obtain any consents and provide any notices required by law.
• Organizers act as the data controller for attendee data within their event; EventNook processes it on their behalf as described in the Privacy Policy.
• Organizers are responsible for how their staff and exhibitors use the Service, including lead-capture features.

6. Attendee responsibilities

• Attendees are responsible for the content they share and for respectful conduct toward others.
• Attendees must comply with the organizer's event rules and applicable law.
• Attendees must not misuse other participants' personal data obtained through networking or scanning features.

7. Acceptable use

You agree not to, and not to permit others to:

• use the Service unlawfully or to infringe the rights of others;
• upload malware or engage in activity that harms or disrupts the Service;
• harass, threaten, defame, or spam other users;
• collect, harvest, or misuse other users' personal data;
• attempt to gain unauthorized access to any systems or data;
• circumvent security or usage limits;
• reverse engineer, decompile, or copy the Service except as permitted by law; or
• resell or commercially exploit the Service without our written permission.

8. User content and licence

You retain ownership of your User content. You grant EventNook a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, adapt (for formatting), and display your User content solely to the extent necessary to operate and provide the Service. You are responsible for ensuring you have the rights to submit your User content and that it does not violate law or third-party rights. We may remove content that violates these Terms.

9. Intellectual property

The Service, including its software, design, text, graphics, and the NookPass and EventNook names and logos, is owned by EventNook or its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, no rights are transferred. You may not use our trademarks without prior written consent.

10. Third-party services and integrations

The Service may integrate with or link to third-party services, including registration platforms such as EventNook, Eventbrite, Luma, Cvent, and Bizzabo. Your use of those services is governed by their own terms and privacy policies. EventNook is not responsible for third-party services, and enabling an integration is at the organizer's discretion and risk.

11. Fees and payment

Where the Service is provided under a paid plan or order, the applicable fees, billing terms, and any order form or subscription agreement between EventNook and the organizer will govern payment. Unless stated otherwise, fees are non-refundable except as required by law. Attendees generally access the Service free of charge, as arranged by their organizer.

12. Privacy and data protection

Our collection and use of personal data is described in the Privacy Policy, which is incorporated into these Terms. Where EventNook processes personal data on an organizer's behalf, a data processing addendum may apply and, if agreed, forms part of the agreement between the organizer and EventNook.

13. Availability, support, and changes

We aim to keep the Service available and reliable but do not guarantee that it will be uninterrupted or error-free. We may perform maintenance, and we may modify, suspend, or discontinue features. We will use reasonable efforts to give advance notice of material changes where practical. Support is provided as described in the applicable plan or on our website.

14. Beta features

We may offer features identified as beta, preview, or experimental. These are provided "as is", may be changed or withdrawn at any time, and are excluded from any service commitments.

15. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access, in whole or in part, if you breach these Terms, if required for security, legal, or operational reasons, or if an organizer's agreement ends. On termination, your right to use the Service ceases. Sections that by their nature should survive termination — including content licences already granted, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

16. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will meet your requirements or be uninterrupted, secure, or error-free.

17. Limitation of liability

To the fullest extent permitted by law, EventNook and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Service, whether based on contract, tort, or any other legal theory, even if advised of the possibility of such damages.

To the fullest extent permitted by law, EventNook's total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts paid to EventNook for the Service in the twelve months preceding the event giving rise to the claim, or (b) SGD 100.

18. Indemnification

You agree to indemnify and hold harmless EventNook and its affiliates from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User content, your violation of these Terms, or your violation of any law or third-party right. For organizers, this includes claims relating to attendee data you collect or process and the events you run.

19. Confidentiality

Each party may receive information that is confidential to the other. The receiving party will protect such information with reasonable care, use it only to perform under these Terms, and not disclose it except to those who need to know and are bound by similar obligations, or as required by law.

20. Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules. The courts of Singapore have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction. Nothing limits either party's right to seek injunctive relief for the protection of intellectual property or confidential information.

21. Changes to these terms

We may update these Terms from time to time. We will post the updated version with a new "last updated" date and, for material changes, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

22. General

• Entire agreement — these Terms, the Privacy Policy, and any order form or addendum agreed with EventNook constitute the entire agreement between the parties.
• Severability — if any provision is held unenforceable, the remaining provisions remain in effect.
• Waiver — failure to enforce a provision is not a waiver of it.
• Assignment — you may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer of our business.
• Force majeure — neither party is liable for delays or failures caused by events beyond its reasonable control.
• Notices — we may provide notices through the Service or by email.
